Ltd ("Onecity", “we”, “us” or “our”), located at 24, 1st Floor, Mothisham Emporium Building, 16-3-138, Kankanady, Mangaluru, Karnataka 575002. By using our Service, you are agreeing to these terms. Transmit any material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Transmit any material that contains software viruses or any other harmful or disruptive code.
Interfere with or disrupt the Services or servers or networks connected to the Services.
Use the Services for any commercial purpose without OneCity's prior written consent.

User Content

The Services may allow you to submit, post, or transmit content, including, but not limited to, text, data, images, and videos ("User Content"). You are solely responsible for User Content that you submit, post, or transmit through the Services. You agree that you will not submit, post, or transmit any User Content that violates these Terms or any applicable laws or regulations.

OneCity may, in its sole discretion, remove any User Content from the Services at any time without notice.

Intellectual Property

The Services and all content, materials, and software contained therein are protected by copyright, trademark, and other intellectual property laws. You agree not to copy, reproduce, modify, distribute, display, perform, create derivative works from, or otherwise exploit any of the Services or content, materials, or software contained therein, except as expressly permitted by these Terms.

The Services may contain links to third-party websites or services. OneCity is not responsible for the content or privacy practices of any third-party websites or services. You should carefully review the privacy policies and terms of use of all third-party websites or services that you visit.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ONECITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL CODE

Limitation of Liability

IN NO EVENT SHALL ONECITY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ONECITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICES.

Indemnification

You agree to indemnify, defend, and hold harmless OneCity, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any applicable laws or regulations.

Termination

OneCity may terminate your access to the Services at any time without notice. This means that OneCity can stop you from using the Services at any time for any reason, or for no reason at all. OneCity may terminate your access to the Services if you violate any of the Terms and Conditions, or if OneCity believes that you are using the Services in a manner that is harmful, offensive, or otherwise objectionable.

OneCity may also terminate your access to the Services if you fail to pay any fees associated with the Services. If OneCity terminates your access to the Services, you may lose access to all of your data that is stored on the Services

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Karnataka, India, without regard to its conflict of laws principles.

Entire Agreement

These Terms and Conditions constitute the entire agreement between you and OneCity with respect to your use of the Services. Any prior or contemporaneous communications, representations, or agreements, whether oral or written, are superseded and of no effect by these Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any provision of these Terms by OneCity shall be deemed a further or continuing waiver of such provision or of any other provision of these Terms.

Notice

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

If to you: Sent to the email address provided during account registration, or to the physical address specified by the user in writing. Notices to the user may also be sent in the manner specified in any updates to these Terms & Conditions.

Assignment

You may not assign these Terms without the prior written consent of OneCity. OneCity may assign these Terms at any time without notice.

Counterparts

These Terms may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Mangalore, India, in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996. The arbitral tribunal shall consist of a single arbitrator appointed by the parties. The place of arbitration shall be Mangalore, India. The language of the arbitration shall be English.

Miscellaneous

These Terms and Conditions are the entire agreement between you and OneCity with respect to your use of the Services. These Terms and Conditions supersede and replace all prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and OneCity with respect to the Services.
